Welcome to Herb & Essences Exports (“Company,” “we,” “our,” or “us”). By accessing or purchasing from hneoils.com (“Website”), you agree to comply with the following Terms & Conditions (“Terms”). These Terms apply to all customers, including retail buyers, wholesale/B2B clients, and international importers.

1. Products and Quality

1.1. We supply essential oils, carrier oils, fragrance oils, and natural extracts for personal, commercial, and industrial applications.
1.2. Product descriptions, specifications, and images are provided for reference. While we take care to ensure accuracy, minor variations in color, aroma, or packaging may occur due to the natural origin of products.
1.3. Clients are responsible for ensuring that products are suitable for their intended use and comply with local regulations in their country.

2. Orders and Pricing

2.1. All orders placed on our Website or via written confirmation are subject to acceptance by us.
2.2. Prices listed on the Website are in USD/INR (or other displayed currencies) and are subject to change without prior notice.
2.3. For B2B/Export orders, minimum order quantities (MOQ) may apply and prices may vary depending on volume and destination.

3. Payments

3.1. We accept payments through Shopify-secured gateways, bank transfers, Letters of Credit (LC), and other methods as applicable.
3.2. For exports and wholesale orders, full or partial advance payment may be required prior to dispatch.
3.3. Orders will only be processed once payment is successfully received.

4. Shipping and Delivery

4.1. Retail orders are shipped via trusted courier partners with tracking details provided.
4.2. Export/B2B orders are shipped under Incoterms® (FOB, CIF, EXW, etc.) as agreed in writing.
4.3. Estimated delivery timelines are provided for guidance. We are not liable for delays caused by customs, port handling, courier issues, strikes, or force majeure events.
4.4. For international shipments, customs duties, import taxes, and local levies (if any) are the buyer’s sole responsibility.

5. Returns, Refunds, and Claims

5.1. Retail customers may request returns or exchanges only if the product is damaged, defective, or incorrect upon delivery, in line with our Return Policy.
5.2. B2B and export orders are non-returnable and non-refundable, except where products are proven to be materially inconsistent with agreed specifications.
5.3. Claims must be submitted in writing within 7 business days of receipt of goods, with supporting documentation.
5.4. Unauthorized returns will not be accepted.

6. Private Labeling and Customization

6.1. We offer private labeling and bulk supply for clients, subject to prior agreement.
6.2. Clients must provide logos, brand guidelines, and packaging details in advance for private label production.
6.3. The Company is not responsible for obtaining legal approvals, cosmetic registrations, or regulatory clearances in the Client’s country.

7. Intellectual Property

7.1. All Website content, branding, product images, and marketing materials remain the intellectual property of Herb & Essences Exports.
7.2. Clients may not reproduce, resell, or misuse our intellectual property without prior written consent.
7.3. Private label brands developed by clients remain the client’s property unless contractually agreed otherwise.

8. Compliance and Liability

8.1. Clients are responsible for ensuring compliance with local import laws, cosmetic/health standards, and labeling requirements in their country.
8.2. Herb & Essences Exports shall not be held liable for misuse, repackaging, or misrepresentation of its products by third parties.
8.3. Our maximum liability, if any, shall be limited strictly to the invoice value of goods supplied.

9. Force Majeure

We are not liable for delays or non-performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government restrictions, pandemics, labor strikes, shipping disruptions, or war-like events.

10. Governing Law and Jurisdiction

10.1. These Terms shall be governed by the laws of India.
10.2. For domestic sales, disputes shall fall under the exclusive jurisdiction of the courts at [Insert City, India].
10.3. For international trade, disputes may be referred to arbitration under ICC Rules, if mutually agreed.

11. Amendments
